CLOVERLEAF REFERRAL PROGRAM TERMS

These terms (the “Referral Program Terms”) apply to the Cloverleaf.me Referral Program described here or at any successor website (“Referral Program”). Cloverleaf.me, Inc. (“Cloverleaf”, “We”, or “Our”) offers the Referral Program to its users (“You” or “Yours”) who qualify for reward(s) when referring a new customer to use Cloverleaf and complete certain activities under the Referral Program Terms. 

1. General

The Referral Program begins at 12:01 a.m. EST on March 1, 2025 and ends at 11:59 p.m. EST on May 31, 2025 (the “Program Period”).

Only participants who: (i) are legal residents of the US; (ii) are at least eighteen (18) years of age or older; and (iii) who have received the referral email offer (the “Email Offer”), are eligible to participate in the Referral Program. These Referral Program Terms are in addition to any agreements between You and Cloverleaf, including Our Terms of Service (https://cloverleaf.me/terms-of-service/) and Privacy Policy (https://cloverleaf.me/privacy-policy/), which are hereby incorporated by reference, and apply to Your participation in the Referral Program.

Please note that by participating, You acknowledge and agree that Cloverleaf may share your email address with its third-party reward providers, including Applied Gratitude, Inc. d/b/a THNKS, in order to facilitate the Reward(s) (as defined below) and the Promotion, subject to the terms of Our Privacy Policy. 2. How the Referral Program works

After receiving the Email Offer complete the following steps: 

1. Follow the prompts to the Referral Link Page (https://marketing.cloverleaf.me/referral-link-request) and complete a referral link request by May 31;
2. Copy the unique referral link into any correspondence with a potential people leader that would be interested in Cloverleaf; and
3. If the referred people leader uses your unique referral link, completes the referral form, and completes a demo call with a Cloverleaf sales representative, you will receive one $25 gift card (“Reward”), subject to verification and compliance with these Program Terms.
   1. Note: Your referred people leader must complete the referral steps no later than ninety (90) days after the Promotion Period ends. 

Additional terms for the referral code:

• All redemptions of the referral link by are subject to verification by Cloverleaf.
• Your referral link must be sent to potential new users and redeemed by such new users during the Program Period.
• Reward gift cards are subject to additional terms and conditions of gift card issuer.

• The referral link can only be used by each new user once. You may send the referral link to as many potential users as you wish. 

3. Representation and Warranty

By participating in the Referral Program, You represent and warrant that You will comply with all applicable policies and terms put forward by Cloverleaf, and any and all applicable laws, rules and regulations relating to Your participation in the Referral Program.

4. Disclaimer

Cloverleaf and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, to the maximum extent allowed by applicable law, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. You understand that You participate in the Referral Program at your own discretion and risk.

5. Relationship of the Parties.

You and Cloverleaf are independent contractors. These Referral Program Terms do not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between You and Cloverleaf.

6. Governing Law; Termination; and Interpretation

These Referral Program Terms shall be governed in accordance with the laws of the State of Ohio, without regard to conflict of law provisions (except for those that would permit the adoption and application of Ohio law). We reserve the right to suspend or terminate the Referral Program or to change these Referral Program Terms at any time in Our sole discretion, with or without notice to You. If We believe that You are using the referral link in breach of the Referral Program Terms, We shall be entitled to claw-back any rewards issued to You in Our sole discretion. We may also restrict and/or remove Your eligibility to participate in the Referral Program.
